1. Definitions and Parties

Noloco Limited, trading as Fonic (“Fonic”, “we”, “us”, “our”), is a company duly incorporated under the laws of Ireland, registered under company number 685318, with its registered office at 77 Camden Street Lower, Dublin 2, D02 XE80, Ireland.

These Terms of Service (“Terms”) govern your access to and use of the website located at fonic.ai (the “Site”) and the Fonic software platform and all related services, features, and functionality (together, the “Service” or “Platform”).

By accessing or using the Service, you (“User”, “you”, “your”) acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (available at fonic.ai/privacy), and any additional terms or policies referenced herein (collectively, the “Agreement”). If you do not agree to these Terms, you must not access or use the Service.

If you are entering into this Agreement on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case “you” and “your” shall refer to such entity.

Key definitions used throughout these Terms:

  • “Report Owner” means a User who creates, manages, or publishes Reports using the Platform.
  • “Report” means any update, report, summary, or other content generated, refined, or published through the Platform.
  • “End User” means any individual who accesses a published Report via a shared link or other distribution mechanism, including but not limited to clients, team members, stakeholders, or members of the public.
  • “User Content” means all text, files, data, images, notes, transcripts, or other materials that a User uploads, pastes, submits, or otherwise provides to the Platform as input for Report generation or refinement.
  • “Generated Content” means any Report text, structure, layout, formatting, or other output produced by the Platform's artificial intelligence capabilities based on User Content.
  • “AI Features” means the artificial intelligence and machine learning capabilities integrated into the Platform, including report generation, chat-based refinement, and any AI-assisted clarification features available to End Users.

2. Description of the Service

Fonic is an AI-powered platform that enables Users to transform unstructured work inputs—such as notes, meeting transcripts, task lists, files, and other fragmented context—into polished, structured, and shareable Reports.

The core functionality of the Service includes:

  • Input collection: Users may provide text, upload files, or paste content as source material for Report generation.
  • AI-powered Report generation: The Platform uses artificial intelligence to produce a structured first draft from the provided inputs.
  • Chat-based refinement: Users may refine the content, tone, structure, and presentation of a Report through a conversational interface with the AI.
  • Report publishing and sharing: Users may generate a shareable link to a hosted version of the Report, which End Users can access without requiring an account.
  • End User interaction: End Users viewing a published Report may ask clarifying questions about the Report's content through an AI-powered chat interface. This interaction is scoped to the Report's subject matter.
  • Action items and approvals: Reports may display action items or approval requests where relevant. These features may be indicative and not yet fully functional during early product phases.

Fonic does not operate as a replacement for professional communication, legal correspondence, or binding contractual documentation. Reports generated through the Platform are informational outputs intended to assist with work updates and stakeholder communication. The User is solely responsible for reviewing, verifying, and approving any content before publishing or sharing it.

3. Eligibility, Registration, and User Accounts

3.1 Eligibility

The Service is intended for use by individuals aged 16 and over, in accordance with Article 8 of the GDPR. By creating an account or using the Service, you represent and warrant that you are at least 16 years of age. If Fonic becomes aware that a User is under the age of 16, Fonic reserves the right to immediately suspend or terminate that User's account and delete any associated personal data.

3.2 Registration

To access and use the Service, you must create an account by providing accurate, truthful, and up-to-date information. You agree to promptly update your account information if it changes.

3.3 Account security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify Fonic at support@noloco.io if you become aware of any unauthorized access to or use of your account.

Fonic reserves the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, incomplete, outdated, or misleading.

3.4 Data protection compliance

You warrant that the processing of personal data—whether your own or that of End Users who interact with your Reports—will comply with all applicable data protection laws and regulations, including the General Data Protection Regulation (EU) 2016/679 (“GDPR”).

4. Licence and Authorised Use

Subject to your compliance with these Terms, Fonic grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Platform solely for your internal business or professional purposes.

You shall not:

  • Copy, modify, adapt, decompile, reverse engineer, disassemble, or create derivative works of the Platform or any component thereof.
  • Rent, lease, sell, sublicence, assign, or otherwise transfer your rights to access or use the Platform to any third party.
  • Use any automated means, including bots, scrapers, crawlers, or similar technologies, to access the Platform or extract data from it, except through APIs expressly provided by Fonic for such purposes.
  • Attempt to gain unauthorized access to any systems, servers, or networks connected to the Platform.
  • Interfere with, disrupt, or impose an unreasonable or disproportionately large load on the Platform's infrastructure, including through denial-of-service attacks, unauthorized load testing, or similar activities.
  • Remove, obscure, or alter any proprietary notices, labels, or branding displayed on or within the Platform.
  • Use the Platform in any manner that violates applicable law or regulation, or that infringes or misappropriates the rights of any third party.

5. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you shall not use the Service to:

  • Generate or distribute harmful content: Create, publish, or share Reports or other content that is defamatory, obscene, abusive, threatening, harassing, hateful, discriminatory, or that promotes violence, self-harm, or illegal activity.
  • Distribute misleading or deceptive content: Generate Reports that are intentionally misleading, fraudulent, or designed to deceive End Users or any other recipients, including the impersonation of individuals or organisations.
  • Process prohibited data categories: Upload, paste, or otherwise provide to the Platform any content that contains special categories of personal data as defined under Article 9 of the GDPR, including data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic data, biometric data for identification purposes, health data, or data concerning a natural person's sex life or sexual orientation. You shall also not process passwords, financial account credentials, or government-issued identification numbers through the Platform.
  • Infringe intellectual property: Upload content that infringes the copyright, trademark, trade secret, or other intellectual property rights of any third party, or use the Platform to generate content that would constitute such infringement.
  • Engage in spam or unsolicited communication: Use the Platform to distribute unsolicited bulk communications, advertisements, or promotional material to End Users or third parties without their prior consent.
  • Exploit the AI for unintended purposes: Attempt to use the AI Features to extract, generate, or infer information beyond the scope of the provided User Content, including attempts to manipulate or “jailbreak” the AI, bypass content safety measures, or cause the AI to produce harmful, illegal, or misleading outputs.
  • Undermine Platform integrity: Probe, scan, or test the vulnerability of the Platform, or breach or circumvent any security or authentication measures, unless expressly authorized by Fonic in writing.
  • Facilitate illegal activity: Use the Service to facilitate, promote, or engage in any activity that violates applicable local, national, or international law or regulation, including but not limited to money laundering, terrorist financing, tax evasion, or sanctions violations.

Fonic reserves the right to investigate and take appropriate action against any User who, in Fonic's sole discretion, violates this section, including but not limited to removing or disabling access to content, suspending or terminating the User's account, and reporting such conduct to the relevant law enforcement authorities.

6. Artificial Intelligence Features

The Platform integrates artificial intelligence technologies, currently leveraging language models provided by Anthropic and potentially other providers such as OpenAI, to enable Report generation, chat-based refinement, and End User clarification features.

By using the AI Features, you acknowledge and agree that:

  • AI outputs require human review. Generated Content is produced by artificial intelligence and may contain inaccuracies, omissions, inappropriate content, or errors of interpretation. You are solely responsible for reviewing, verifying, and approving all Generated Content before publishing, sharing, or relying upon it. Fonic does not guarantee the accuracy, completeness, reliability, suitability, or appropriateness of any AI-generated output.
  • AI outputs are not professional advice. Generated Content does not constitute legal, financial, medical, tax, or other professional advice. You should not rely on Generated Content as a substitute for professional judgment or consultation.
  • No confidentiality guarantee for AI-processed content. While Fonic implements appropriate technical and organisational measures to protect User Content, content submitted to the Platform may be processed by third-party AI model providers in accordance with their respective terms and data processing agreements. Fonic selects providers that offer appropriate data protection commitments but does not guarantee that User Content processed by AI models will not be retained, logged, or used by such providers as permitted under their agreements with Fonic. Users should not submit content through the Platform that they are not authorised to share with Fonic and its sub-processors.
  • AI behaviour may evolve. The AI Features are subject to continuous development and improvement. The outputs, capabilities, and behaviour of the AI may change over time as models are updated, fine-tuned, or replaced. Fonic will use reasonable efforts to maintain output quality but does not guarantee consistency of AI-generated results across different versions or time periods.
  • Interaction data may be retained. Fonic may retain certain interactions with its AI Features to ensure service quality, investigate issues, provide technical support, and improve the Platform. Such retention is subject to the Fonic Privacy Policy and applicable data protection laws.
  • User responsibility for End User disclosure. If your Reports are shared with End Users, you are responsible for informing those End Users that the content was generated or assisted by artificial intelligence, and that AI-powered chat features may be available on the published Report. You must include appropriate disclosures in your own policies, communications, or notices as required by applicable law.

7. User Content and Intellectual Property

7.1 Ownership of User Content

You retain all rights, title, and interest in and to your User Content. Fonic does not claim ownership over any text, files, data, or other materials you provide to the Platform.

7.2 Licence Granted to Fonic

By uploading, pasting, submitting, or otherwise providing User Content to the Platform, you grant Fonic a non-exclusive, worldwide, royalty-free, and revocable licence to use, reproduce, modify, process, and display such User Content during the term of this Agreement, solely for the purposes of operating the Platform, providing the Service (including AI processing and Report generation), and improving the Platform. This licence terminates upon deletion of your User Content or termination of your account, subject to any retention periods described in our Privacy Policy.

7.3 Ownership of Generated Content

Generated Content is produced by the Platform's AI Features based on your User Content and system instructions. To the extent permitted by applicable law, you are granted a non-exclusive, perpetual licence to use, modify, distribute, and publish the Generated Content for any lawful purpose. You acknowledge that similar or identical Generated Content may be produced for other Users who provide similar inputs, and that Fonic makes no representation or warranty regarding the uniqueness or originality of any Generated Content.

7.4 Fonic's Intellectual Property

Fonic retains all rights, title, and interest in and to the Platform, including its software, algorithms, models, user interface, design, documentation, branding, and all updates, enhancements, and modifications thereto. Nothing in these Terms shall be construed as transferring any intellectual property rights in the Platform to you. The Fonic name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Noloco Limited. You must not use such marks without the prior written permission of Noloco.

7.5 Usage Information

Fonic owns all aggregated, anonymised, or de-identified data relating to the use and performance of the Platform, including usage statistics, feature engagement patterns, performance metrics, and activity logs (“Usage Information”). Usage Information does not include personally identifiable data or User Content in identifiable form. Fonic may use Usage Information for analytical purposes, to monitor and improve the Platform, and to fulfil its obligations under this Agreement.

7.6 User Warranties Regarding Content

You represent and warrant that:

  • You have the right, authority, and all necessary consents to submit User Content to the Platform and to grant the licences described in this section.
  • Your User Content does not infringe, violate, or misappropriate the rights of any third party, including copyrights, trademarks, trade secrets, privacy rights, or any other intellectual property or proprietary rights.
  • Your User Content complies with these Terms and all applicable laws and regulations.
  • You shall indemnify and hold harmless Fonic against any claims, damages, costs, or liabilities arising from or related to your User Content.

8. Published Reports and End User Access

When you publish a Report and generate a shareable link, that Report becomes accessible to any person who has the link (“Published Report”). You acknowledge and agree that:

  • You are solely responsible for the content of any Published Report and for determining who receives the shareable link.
  • Fonic does not review, approve, endorse, or assume responsibility for the content of any Published Report.
  • Published Reports are hosted by Fonic and made available on an “as is” basis. Fonic does not guarantee uninterrupted availability of any Published Report.
  • End Users who access a Published Report may interact with AI-powered clarification features. Such interactions are scoped to the content of the specific Published Report and do not constitute open-ended AI assistance.
  • You are responsible for ensuring that any personal data included in a Published Report is processed in compliance with applicable data protection laws, and that any necessary consent or legal basis has been obtained for sharing such data with End Users.
  • Fonic may remove or disable access to any Published Report that, in its sole discretion, violates these Terms, applicable law, or the rights of any third party.

9. Fees, Billing, and Payment

Access to certain features of the Service may require payment of subscription fees as described on the Platform's pricing page.

Fonic will provide a minimum of thirty (30) days' prior notice before any changes to subscription fees take effect. If you do not accept such changes, you may terminate this Agreement in accordance with Section 13.

Payments are made in advance on a monthly, annual, or other agreed-upon basis. If a separate invoice is issued, payment is due within fourteen (14) days of the invoice date. All prices quoted are exclusive of applicable taxes, duties, and levies, which are your sole responsibility.

Failure to make payment within the established timeframe may result in temporary or permanent suspension of your access to the Service. Fonic reserves the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.

Unless otherwise stated, subscription fees are non-refundable. No pro-rata refund will be issued for the remainder of a billing period in which you terminate or downgrade your subscription.

10. Service Availability and Support

Fonic will use commercially reasonable efforts to maintain the availability of the Platform. However, the Platform may be subject to temporary interruptions due to scheduled maintenance, updates, or causes beyond Fonic's reasonable control, including but not limited to failures or delays of internet service providers, third-party AI model providers, hosting infrastructure, or denial-of-service attacks.

The Platform may receive automatic updates that enhance, modify, or remove certain functionalities. Fonic will use reasonable efforts to notify Users of material changes to the Platform's functionality.

Users may access documentation, help resources, and support channels as determined by their subscription level. Fonic does not guarantee specific response times for support requests unless expressly stated in a separate service level agreement.

11. Security and Trust

Fonic is committed to maintaining the security and integrity of the Platform and the data processed through it.

Fonic is operated by Noloco Limited, an organisation that holds ISO/IEC 27001 certification for its information security management system (ISMS).

You are responsible for implementing appropriate security measures for your own systems, including maintaining the confidentiality of your login credentials and ensuring that any content you upload to the Platform is appropriately classified and authorised for processing by cloud-based services.

12. Disclaimers and Limitation of Liability

12.1 Disclaimers

THE SERVICE, INCLUDING ALL AI FEATURES AND GENERATED CONTENT, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FONIC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WITHOUT LIMITING THE FOREGOING, FONIC MAKES NO WARRANTY OR REPRESENTATION THAT:

  • The Service will meet your requirements or expectations.
  • The Service will be uninterrupted, timely, secure, or error-free.
  • Any AI-generated output will be accurate, complete, reliable, current, appropriate, or free from bias.
  • Any defects in the Service will be corrected.
  • The Service is free from viruses or other harmful components.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FONIC, NOLOCO LIMITED, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages.
  • Loss of profits, revenue, data, goodwill, or business opportunity.
  • Cost of procurement of substitute goods or services.
  • Damages arising from your use of or inability to use the Service.
  • Damages arising from any content generated, published, or shared through the Platform, including any reliance by you or any End User on such content.
  • Damages arising from unauthorized access to or alteration of your transmissions or data.
  • Any other damages arising out of or in connection with these Terms or the Service.

IN ANY EVENT, FONIC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO FONIC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF FONIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 Essential basis of the Agreement

The disclaimers, exclusions, and limitations of liability set out in this section reflect a reasonable and fair allocation of risk between the parties, form an essential basis of the bargain between you and Fonic, and shall apply even if any limited remedy fails of its essential purpose. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

13. Termination and Cancellation

13.1 Termination by you

You may terminate free services at any time by contacting Fonic at support@noloco.io. For paid subscriptions, you must provide notice at least three (3) days prior to the end of the current billing period to avoid charges for the next period. No refund shall be issued for the current billing period.

13.2 Termination by Fonic

Fonic may terminate or suspend your access to the Service:

  • For convenience: Upon thirty (30) days' prior written notice, without further liability.
  • For cause: Immediately or upon shorter notice if you commit a material breach of these Terms and fail to cure such breach within thirty (30) days after receiving written notice detailing the breach. Violations of Section 5 (Acceptable Use and Prohibited Conduct) may constitute grounds for immediate termination without a cure period.
  • For non-payment: If fees remain unpaid for more than fourteen (14) days past the due date, Fonic may suspend your access immediately and terminate your account after an additional fourteen (14) days of non-payment.

13.3 Effect of termination

Upon termination:

  • Your right to access and use the Service shall cease immediately.
  • All Published Reports associated with your account may be removed or made inaccessible. Fonic is under no obligation to continue hosting Published Reports after account termination.
  • Fonic will retain your User Content for thirty (30) days following termination. During this period, you may request delivery of your User Content by contacting support@noloco.io. After this retention period, Fonic may permanently delete your User Content without liability.
  • Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7 (Intellectual Property), 12 (Disclaimers and Limitation of Liability), 14 (Indemnification), and 17 (Governing Law and Jurisdiction).

14. Indemnification

You agree to indemnify, defend, and hold harmless Noloco Limited (trading as Fonic), its directors, officers, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service or any activity under your account.
  • Your User Content or any content included in your Published Reports.
  • Your breach of these Terms or any representation or warranty made herein.
  • Your violation of any applicable law, regulation, or the rights of any third party.
  • Any claim by an End User or other third party arising from the content, accuracy, or availability of your Published Reports.
  • Any claim arising from your failure to comply with applicable data protection laws in connection with personal data processed through the Platform.

Fonic reserves the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate with Fonic's defence of such claims.

15. Data Protection

The processing of personal data in connection with the Service is governed by Fonic's Privacy Policy, available at fonic.ai/privacy.

Where a User provides personal data as part of User Content or Published Reports, the User acts as the data controller and Fonic acts as the data processor in respect of such data, processing it solely on the User's behalf and in accordance with the User's instructions as implemented through the Platform's functionality.

You warrant that you have obtained all necessary consents, permissions, and legal bases required under applicable data protection laws before submitting any personal data to the Platform or including personal data in any Published Report.

Fonic processes personal data in accordance with the GDPR and other applicable data protection legislation. For details on the categories of data processed, retention periods, data subject rights, international transfers, and sub-processors, please refer to the Privacy Policy.

16. Amendments to these Terms

Fonic reserves the right to amend these Terms at any time. We will provide existing Users with at least fifteen (15) days' prior notice of material changes via email or by publishing an updated version on the Site with a revised “Last updated” date.

Continued use of the Service after the effective date of any modification constitutes your acceptance of the amended Terms. If you do not agree to any amendment, you must discontinue your use of the Service and terminate your account in accordance with Section 13.

Non-material changes, such as corrections of typographical errors or clarifications that do not alter the substance of the Terms, may be made without prior notice.

17. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of laws principles.

Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be submitted to the exclusive jurisdiction of the competent courts of Ireland.

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting Fonic at support@noloco.io. The parties agree to negotiate in good faith for a period of at least thirty (30) days before either party may commence formal proceedings.

18. General Provisions

18.1 Entire Agreement. These Terms, together with the Privacy Policy and any other documents expressly referenced herein, constitute the entire agreement between you and Fonic with respect to the Service and supersede all prior or contemporaneous understandings, agreements, or representations.

18.2 Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.

18.3 Waiver. The failure of Fonic to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Fonic.

18.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Fonic. Fonic may assign its rights and obligations under these Terms to any affiliate or successor entity, or in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets, without your consent.

18.5 Force Majeure. Fonic shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, governmental actions or orders, failures of internet or telecommunications infrastructure, disruptions to third-party AI model providers, denial-of-service attacks, or labour disputes.

18.6 Notices. All notices under these Terms shall be sent to support@noloco.io for notices to Fonic, and to the email address associated with your account for notices to you. Notices shall be deemed given upon transmission by email.

18.7 No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights. End Users who access Published Reports are not parties to this Agreement and have no rights or claims against Fonic arising under these Terms.

18.8 Relationship of the Parties. Nothing in these Terms shall be construed as creating a joint venture, partnership, employment, or agency relationship between you and Fonic. Neither party has the authority to bind the other or to incur obligations on the other's behalf.
